Can the Propeller be used to convert VGA 1024x768 24bit color signal to TV signal?

Not really. Think about the amount of image storage you'd need for a single frame. The scan rates are different, so you can't just convert on-the-fly. You're also talking about a very high data rate and there's no built-in hardware for video/VGA input that corresponds to the video generator in the Propeller. With some external hardware and some kind of external buffer, it should be doable, but there's all kinds of existing hardware designed specifically for this task.
